Public Offer for the Distance Selling of Goods

1. General Provisions

1.1. This document is a public offer of Nikolay Vyacheslavovich Belyaev, applying the special tax regime "Professional Income Tax" (TIN: 591156797320, Certificate of Registration KND 1122035 dated 06/09/2026), mailing address: 194358, St. Petersburg, Prospekt Prosveshcheniya, 46, bldg. 1 (hereinafter referred to as the "Seller"), addressed to any physical person (hereinafter referred to as the "Buyer"), and contains all the essential terms of the retail sales contract for the distance selling of goods.

1.2. This offer is developed in accordance with Articles 435–437 of the Civil Code of the Russian Federation and Article 26.1 of the Law of the Russian Federation No. 2300-1 dated 02/07/1992 "On Protection of Consumers' Rights" (hereinafter referred to as the "Consumer Protection Law"), as well as the Rules for the sale of goods under a retail sales contract, approved by Decree of the Government of the Russian Federation No. 2463 dated 12/31/2020.

1.3. The offer is published on the website at: nikulina.art/en/offer and is valid indefinitely until replaced by a new version.

1.4. Acceptance of this offer is the Buyer clicking the "Place Order" button on the nikulina.art website. From the moment of acceptance, the offer acquires the force of a retail sales contract (Article 438 of the Civil Code of the Russian Federation). By accepting the offer, the Buyer confirms that they:

  • have read the terms of this offer and the Privacy Policy (nikulina.art/en/privacy);
  • agree to the processing of their personal data for the purpose of executing the contract (Article 6, Part 1, Clause 5 of Federal Law No. 152-FZ dated July 27, 2006);
  • are a legally competent physical person.

2. Subject of the Contract

2.1. The Seller undertakes to transfer to the Buyer's ownership the goods presented in the catalog on the nikulina.art website (author's paintings, prints, reproductions, and other handmade art objects, hereinafter referred to as the "Goods"), and the Buyer undertakes to accept the Goods and pay for them under the terms of this contract.

2.2. The assortment, description, characteristics, prices, and availability of the Goods are indicated on the nikulina.art website. Photographs of the Goods are for illustrative purposes; minor discrepancies in color and texture, due to the manual nature of production and the features of screen display, are not considered a defect of the Goods.

2.3. Ownership of the Goods passes to the Buyer from the moment of their actual receipt and full payment.

3. Order Processing Procedure

3.1. The Buyer places an order independently on the nikulina.art website by selecting the Goods, filling out the order form (Full name, delivery address, contact phone number, and/or email), and clicking the "Place Order" button.

3.2. After placing the order, the Seller sends a confirmation to the Buyer to the specified email or by phone within 1 working day. The confirmation contains the order number, the list, and the cost of the Goods.

3.3. The contract is considered concluded from the moment the Seller confirms the order.

3.4. The Seller has the right to refuse to execute the order if the Goods are out of stock or discontinued. In such a case, the Seller notifies the Buyer and, if payment has been made, fully refunds the funds within 10 days.

4. Prices and Payment Procedure

4.1. Prices for the Goods are indicated on the website in Russian Rubles. The Seller applies the special tax regime "Professional Income Tax" (NPD), VAT is not charged.

4.2. The Seller has the right to unilaterally change the prices for the Goods. Changing the price after order confirmation is not allowed.

4.3. Payment is made in the following ways:

  • online by credit card through the payment service integrated into the website;
  • by other methods indicated on the website at the time of placing the order.

4.4. The Buyer's payment obligation is considered fulfilled from the moment the funds are credited to the Seller's account.

4.5. The Seller generates and sends the Buyer a receipt for the received income through the "My Tax" application in accordance with Federal Law No. 422-FZ dated November 27, 2018.

5. Delivery

5.1. Delivery of the Goods is carried out within the territory of the Russian Federation and/or to other countries (if indicated on the website) with the involvement of a logistics partner — LLC "CDEK-Global" or another delivery service.

5.2. Delivery costs and terms are determined by the tariffs of the delivery service and are calculated when placing an order, taking into account the delivery address and the dimensions of the Goods.

5.3. The Seller transfers the Goods to the delivery service within 3 working days from the moment of order confirmation and receipt of payment. The estimated delivery time is 3–14 working days, depending on the region and the chosen tariff.

5.4. When transferring the Goods to the delivery service, the Seller transfers the minimum necessary personal data of the Buyer (Full name, address, phone number) for the purpose of executing the contract in accordance with Article 6, Part 1, Clause 5 of Federal Law No. 152-FZ dated July 27, 2006.

5.5. The risk of accidental loss or damage to the Goods passes to the Buyer from the moment of their transfer to the Buyer (or an authorized person).

5.6. Upon receipt of the Goods, the Buyer must check their appearance and completeness in the presence of a representative of the delivery service. If damage to the packaging or the Goods is detected, the Buyer has the right to refuse to receive the shipment by drawing up a damage report.

6. Return and Exchange of Goods

6.1. The return of Goods of proper quality is carried out within 7 days from the moment of their receipt by the Buyer in accordance with Article 26.1 of the Consumer Protection Law, provided that the marketable condition, consumer properties, and packaging of the Goods are preserved.

6.2. The Buyer does not have the right to refuse Goods of proper quality made to individual order (with a personal inscription, non-standard size, etc.), since such Goods have individually defined properties and can be used exclusively by this Buyer (Article 26.1, Clause 4 of the Consumer Protection Law).

6.3. When returning Goods of proper quality, the cost of return delivery is borne by the Buyer.

6.4. If significant defects are found in the Goods (inadequate quality, damage during delivery), the Buyer has the right, in accordance with Article 18 of the Consumer Protection Law, to:

  • demand free elimination of defects;
  • demand replacement of the Goods;
  • refuse the contract and demand a refund of the amount paid.

6.5. To process a return or file a quality claim, the Buyer sends a request to the Seller using the contact details specified in Section 11, attaching photographic or video evidence of the defect.

6.6. The refund is made by the Seller within 10 days from the receipt of the returned Goods and/or satisfaction of the claim, using the same method by which the payment was made.

7. Liability of the Parties

7.1. The Seller is responsible for the quality of the Goods in accordance with the Consumer Protection Law and the Civil Code of the Russian Federation.

7.2. The Seller is not responsible for delivery delays caused by the delivery service or due to force majeure circumstances.

7.3. The Buyer is responsible for the accuracy of the provided data (delivery address, contact details). In case delivery is impossible due to the Buyer's fault, repeated delivery is paid for by the Buyer.

7.4. The parties are released from liability upon the occurrence of force majeure circumstances (fire, flood, actions of state authorities, military actions, etc.), about which the affected party must notify the other party within 3 working days.

9. Processing of Personal Data

9.1. By placing an order and accepting this offer, the Buyer provides the Seller with the personal data (Full name, delivery address, phone number, email) necessary for the execution of this contract.

9.2. The processing of personal data is carried out on the basis of Article 6, Part 1, Clause 5 of Federal Law No. 152-FZ dated July 27, 2006 "On Personal Data" — as necessary for the execution of a contract to which the personal data subject is a party. Separate consent for processing personal data for the purpose of executing an order is not required.

9.3. The procedure for processing, storing, protecting, and exercising the rights of personal data subjects is determined by the Privacy Policy, available at: nikulina.art/en/privacy.

10. Dispute Resolution

10.1. The parties shall endeavor to resolve all disputes and disagreements through negotiations.

10.2. The Buyer has the right to send a claim to the Seller using the contact details specified in Section 11. The Seller reviews the claim within 10 calendar days from the moment of its receipt.

10.3. If disputes are not resolved through the claim procedure, they are subject to judicial review at the Seller's location or the Buyer's place of residence (at the Buyer's choice in accordance with Article 17 of the Consumer Protection Law).

10.4. Applicable law — legislation of the Russian Federation.

12. Final Provisions

12.1. The Seller has the right to unilaterally make changes to this offer. The current version is published on the website at nikulina.art/en/offer. Changes take effect from the moment of their publication and do not apply to already confirmed orders.

12.2. If any provision of this offer is recognized as invalid, this does not entail the invalidity of its remaining provisions.

12.3. In all matters not covered by this offer, the parties shall be guided by the current legislation of the Russian Federation.
